Terms of Service

Subject to your compliance with these terms, FrugalBill grants you a non-exclusive, limited, personal, non-sublicensable, non-transferable right to access and use our services during the applicable term for your internal business purposes only.

You are responsible for all activity that occurs on your account. You must keep your account password secure and are solely responsible for maintaining the confidentiality of your login credentials.

You may not reverse engineer, decompile, modify, copy, distribute, resell, or create derivative works based on our services. You may not use our services to build competitive products or for any illegal purpose.

You retain all rights to your data. You grant us a license to use, copy, and process your data as necessary to provide and improve our services. We will maintain appropriate security measures to protect your data.

You agree to pay all fees specified in your order form. Unless otherwise stated, all fees are quoted in Euros and are non-refundable. We may change our fees upon notice to you.

Your subscription begins on the start date specified in your order form and continues for the subscription term. Subscriptions automatically renew for additional periods equal to the expiring term unless either party gives notice of non-renewal.

If any invoiced amount is not received by the due date, we may suspend your access to the services without liability until such amounts are paid in full. Late payments may be subject to interest charges.

Either party may terminate this agreement for cause upon 30 days written notice if the other party breaches a material term of this agreement. Upon termination, you will immediately cease use of our services.

We warrant that the services will function in substantial conformity with our documentation. Your exclusive remedy for breach of this warranty is repair, replacement, or refund of the affected service.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. EXCEPT FOR LIABILITY ARISING FROM BREACH OF CONFIDENTIALITY OBLIGATIONS, DATA PROTECTION VIOLATIONS, OR INTELLECTUAL PROPERTY INFRINGEMENT, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER PORTUGUESE LAW.

This Agreement shall be governed by and construed in accordance with the laws of Portugal, without giving effect to any principles of conflicts of law. Any disputes arising out of these terms will be subject to the exclusive jurisdiction of the courts located in Portugal.

These terms constitute the entire agreement between you and FrugalBill regarding the services and supersede all prior agreements and understandings, whether written or oral, about the services.

You may not assign any of your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor in interest without your consent.

You grant us a non-exclusive license to include your name and logo within lists of customers utilizing our services, both on our website and in marketing and promotional materials.
